| In connection with the consummation of the initial business combination of Acri Capital Acquisition Corporation. ("ACAC") pursuant to certain business combination agreement by and among ACAC, Acri Capital Merger Sub I Inc., a Delaware corporation and subsidiary of the ACAC ("PubCo"), Acri Capital Merger Sub II Inc., a Delaware corporation and subsidiary of the PubCo ("Merger Sub"), and Foxx Development Inc., a Texas corporation ("Foxx"), dated February 18, 2024. This "Exit" Form 4 is voluntarily filed to report that the Reporting Person is no longer serving in the role as ACAC's director, CEO and Chairwoman effectively or holding more than 10% of issued and outstanding shares of the Issuer after the date hereof, and is therefore no longer subject to Section 16 Reporting. |
