Explanation of Responses:

1. On January 13, 2022, the Company, under its 2016 Incentive Plan, agreed to issue Mr. Charles options (the "Options") to purchase 10,560 shares of Common Stock, which shall vest in monthly increments over a one year period beginning January 13, 2022. The Options will be deemed exercisable when, and to the extent, they become vested.
