Explanation of Responses:

1. On July 24, 2023, Boscolo Intervest Limited ("Boscolo") contributed its shares of Issuer common stock to SW ParentCo, Inc. ("Parent") in exchange for shares of Series A-2 Preferred Stock, par value $0.001 per share, of Parent pursuant to a Contribution and Exchange Agreement made as of May 29, 2023, by and between Boscolo and Parent.

2. The shares of Common Stock of the Issuer were held of record by Boscolo Intervest Limited. Chelt Trading Limited is the sole shareholder of Boscolo Intervest Limited. The Highview Trust, a grantor trust, is the sole shareholder of Chelt Trading Limited. Jaime Javier Montealegre Lacayo is the settlor, trustee and sole beneficiary of The Highview Trust.
