Explanation of Responses:

1. The shares subject to the option award vest over a four-year period in 48 equal monthly installments measured from grant date, subject to the reporting person's continued service through the applicable vesting date.

2. Each restricted stock unit, or RSU, represents a contingent right to receive one share of the Issuer's common stock.

3. The shares subject to the RSU award vest over a two-year period as to 50% of such shares on each of the first and second annual anniversary of the grant date, subject to the reporting person's continued service through the applicable vesting date.
