    Explanation of Responses:
    1. On October 17, 2024, the Reporting Person purchased 55 shares of the Company's newly issued Series 1C convertible preferred stock at a purchase price of $1,000 per Series 1C share. The Series 1C preferred stock is convertible into common stock beginning on 4/18/2025 at a per share conversion price of $2.50 per common share.
    2. The Series 1C preferred stock is perpetual and therefore has no expiration date.
    3. Each Series 1C share has a Stated Value of $1,000 which is convertible into 400 shares of common stock based upon the conversion price of $2.50 per common share. The 55 shares of Series 1C preferred shares purchased would be convertible into an aggregate 22,000 shares of common stock, except that the Series 1C preferred shares have a 4.99% beneficial ownership blocker on the conversion feature. The number of shares that the Reporting Person could convert and/or vote at any time, therefore, would be limited to that number of common shares (which when combined with all other common shares then beneficially owned) that would not increase the Reporting Person's beneficial ownership of common stock above 4.99% of the Company's then outstanding common stock.
