Explanation of Responses:

1. The Compensation Committee of the Board of Directors approved a restricted stock unit grant under the Synopsys, Inc. 2006 Employee Equity Incentive Plan.

2. One-sixth (1/6) of the units vest on the date shown followed by five equal semi-annual installments, subject to continued service through each vesting date.

Remarks:

The Reporting Person previously filed a Form 3 which did not include 16 shares that were acquired prior to becoming a Reporting Person of the Issuer by a Family Trust.
