This option vests on the earlier of (i) the date of the closing of a Merger/Sale (as such term is defined under the Issuer's 2017 Share Incentive Plan (as amended)), or (ii) May 22, 2024, so long as, prior to such date, (x) the Reporting Person has not terminated without cause the Reporting Person's Consulting Agreement (the "Agreement") with the Issuer or (y) the Issuer has not terminated the Agreement for breach (and such breach has not been cured).
