Explanation of Responses:

1. Restricted stock units convert into common stock on a one-for-one basis.

2. 30,000 shares for each full month of service as Interim CEO will vest on the first anniversary of the grant date (Maximum 180,000 shares). Any RSUs that do not so vest shall be forfeited.
