The option vests and becomes exercisable as to 100% of the underlying shares on the earlier of (i) June 6, 2025 and (ii) immediately prior to the 2025 annual meeting of stockholders of Sana Biotechnology, Inc. ("Sana"), provided that the reporting person provides continuous service to Sana through such date.
