1. Each restricted stock unit (RSU) represents a contingent right to receive one share of common stock.

2. The RSUs vest one-third each on July 2, 2025, July 2, 2026 and January 2, 2027, or upon change of control.

3. The RSUs were awarded and granted to Mr. Dal Poggetto for services performed as part of the Company's annual equity grant.
