1. 100,000 shares of the 200,000 options shares granted pursuant to Stock Option Agreement dated 7/9/2020 vested on 6/30/2022 upon achievement of Adjusted EBITDA performance milestone.

2. Exercise of option to purchase 70,000 shares of the 100,000 vested shares pursuant to Stock Option Agreement dated 7/9/2020 for 200,000 option shares leaves vested options to purchase 30,000 shares and unvested options to purchase 100,000 shares.
