Explanation of Responses:

1. The reporting person's deferred share units represented the right of such reporting person to receive the indicated number of shares of common stock, par value $0.10 per share of the issuer upon the retirement of the reporting person from the board of directors.

2. On June 12, 2023, the reporting person and the issuer had not completed calculating the amount of required withholding taxes necessary to determine the number of shares that reporting person must forfeit. This Form 4 is being amended to reflect the reporting person's forfeiture of shares.
