Explanation of Responses:

1. Represents a restricted stock unit ("RSU") award granted to the Reporting Person pursuant to the Issuer's non-employee director compensation policy. The RSU vests in full on the date of the next annual meeting of the Issuer's stockholders following the grant date (or the date immediately preceding the date of the annual meeting if the Reporting Person's service as a director ends at such annual meeting as a result of the director's failure to be re-elected or the director not standing for re-election), subject to the Reporting Person's service as a director with the Issuer on such date.

2. These shares are held by Couch Holdings II, LLC (the "LLC"). The Reporting Person is the Managing Member of the LLC and, as such, may be deemed to share voting and investment power with respect to the shares held by the LLC. The Reporting Person disclaims beneficial ownership of those shares owned by the LLC, except to the extent of his pecuniary interest therein.
