1. The Reporting Person received 5,557 Restricted Stock Units, or RSU, which represents a right to receive one share of Common Stock upon the satisfaction of applicable vesting conditions.

2. Each RSU represents the right to receive one share of Common Stock upon the satisfaction of applicable vesting conditions.

3. Half of the RSUs vest immediately, on June 9, 2023, and the other half vest in six months on December 9, 2023.
