1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the issuer's Class A common stock in accordance with the issuer's 2021 Long-Term Incentive Plan. The RSUs will vest on November 17, 2023 if on such date the reporting person has remained in continuous service as a director.
