Explanation of Responses:

1. On June 2, 2025, the Issuer granted stock options to the Reporting Person in further consideration of his continued service as a consultant and other valuable consideration.

2. The stock options shall vest as to 25% on June 2, 2026, with the remainder vesting in 36 substantially equal monthly installments thereafter, subject to the Reporting Person entering into an amended consultancy agreement, the Reporting Person's continued service to the Issuer through each applicable vesting date and Apeiron Investment Group Ltd.'s compliance with the Voting Agreement dated as of June 2, 2025 by and among Beckley Psytech Limited, Atai Life Sciences N.V. and Apeiron Investment Group Ltd.
