Explanation of Responses:

1. Issued pursuant to the Issuer's Director Compensation Program, as amended, which provides for the issuance of a stock option to non-employee directors with an exercise price equal to the closing price of the Issuer's common stock on its principal exchange on the second trading day following the Issuer's release of its preliminary 2024 revenue. The option vests ratably over a 12-month period and becomes fully vested and exercisable on the first anniversary of the date of grant.
