Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of common stock of Infinera Corporation (the "Company").

2. These RSUs vest on the earlier of (i) the date of the Company's 2025 annual meeting of stockholders, provided that such annual meeting of stockholders occurs at least 50 weeks after the date of the Company's 2024 annual meeting of stockholders which was held on June 12, 2024, or (ii) the one-year anniversary of the June 12, 2024 date of grant, subject in each case to Mr. Dougherty's continued service to the Company.
