(the "Company"), including all committees thereof on which he served, in connection with, and effective immediately following the acquisition by P-180 Vince Acquisition Co. from affiliates of Sun Capital Partners, Inc. of 8,481,318 shares of common stock of the Company on January 22, 2024.
