Explanation of Responses:

1. Consists of options to purchase 5,000 shares of common stock, which shall vest 1/3 on January 1, 2027 and thereafter pro rata on a monthly basis over 24 months, subject to the Reporting Person's continued service to the Issuer through each vesting date, having an exercise price equal to the fair market value of the Issuer's common stock on the effective date of the grant.
