Explanation of Responses:

1. Annual option granted in connection with the Reporting Person's service as a non-employee director as of the Company's 2025 annual meeting of stockholders. The option will vest in full on the one-year anniversary of the date of grant, subject to the non-employee director's continuous service.

2. Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of the Company's common stock.

3. RSUs granted in connection with the Reporting Person's service as a non-employee director as of the Company's 2025 annual meeting of stockholders. The RSUs vest in full on the one-year anniversary of the date of grant, subject to the non-employee director's continuous service.
