Explanation of Responses:

1. One-third of the shares subject to the option will vest on the one-year anniversary of the grant and the remaining shares will vest on a monthly basis over two years thereafter, subject to the Reporting Person's continued service through each vesting date.

2. One-fourth of the shares subject to the option will vest on the date of the Issuer's next annual meeting of stockholders and the remaining shares will vest on a monthly basis over three years thereafter, subject to the Reporting Person's continued service through each vesting date.
