Explanation of Responses:

1. Pursuant to the Issuer's 2023 Equity Incentive Plan (the "2023 Plan"), on July 1, 2024 (the "Grant Date"), the Reporting Person was granted 30,904 non-qualified stock options (the "Options") at the exercise price of $0.193, which is the closing price of the Issuer's common stock on the Grant Date. The Options shall vest in 1/36 per month over three years, commencing on the Grant Date.
