Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the common stock of the Issuer.

2. The RSUs were granted on June 4, 2025, under the Issuer's 2022 Omnibus Equity Compensation Plan. The RSUs will vest in full on June 4, 2026, subject to the Reporting Person's continued service as a member of the Issuer's Board of Directors through such date.
