Explanation of Responses:

1. Theodore F. Search serves on the board of managers of Mill River Partners LLC and shares voting and investment power with respect to these shares.

2. On October 21, 2025, the reporting person was granted options to purchase 140,000 shares of the issuer's common stock pursuant to the terms and conditions of a stock option award agreement. These options vest in full on the one-year anniversary of the date of grant, provided that the reporting person is serving as a director of the issuer on such date.
