Explanation of Responses:

1. Represents shares of Class A Common Stock of Necessity Retail REIT, Inc. (the "Registrant") issued pursuant to the 2018 Omnibus Incentive Compensation Plan of the Registrant (the "Plan"). The restricted shares vest in 25% increments on each of the first four anniversaries of June 12, 2023, subject to acceleration upon a "Change of Control" as defined under the Plan, including completion of the transactions contemplated by the Agreement and Plan of Merger by and among the Company and its affiliates and Global Net Lease, Inc. and its affiliates, dated May 23, 2023.
