1. On March 5, 2024, the reporting person was granted 5,230 Restricted Stock Units ("RSUs"). The RSUs will vest in full on the earlier of (i) the first anniversary of the grant date or (ii) the date of the Company's 2025 Annual Meeting of Shareholders.

2. RSUs convert into common stock on a one-for-one basis.
