Explanation of Responses:

1. The option grant was approved by the Board of Directors of the Company on January 12, 2023, subject to shareholder approval of an amendment to the Company's 2021 Equity Incentive Plan, as amended (the "Plan"), increasing the number of shares of Common Stock available for the grant of awards under the Plan in an amount sufficient to cover this option grant. Shareholder approval was received for such amendment on May 25, 2023, at the 2023 Annual Meeting of the Company's shareholders.

2. 25% of the option vests on the first anniversary of the date grant and the remaining 75% in equal increments of 6.25% of the total options at the end of each three-month interval over the following three year period.
