Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of the issuer's common stock.

2. These shares were withheld by the issuer to satisfy statutory tax withholding requirements on vesting of restricted stock units that occurred on June 14, 2023. No shares were sold in connection with this transaction.

3. The reporting person was granted 2,000 restricted stock units on June 14, 2021, which vest over 5 years as follows: 40% on the second anniversary of the grant date and 20% on the third, fourth and first anniversaries of the grant date subject to the reporting person's continued employment with the issuer.
