Explanation of Responses:

1. Each stock unit represents a conditional right to receive one share of the Issuer's common stock. The stock units will be settled in the Issuer's common stock or cash (or a combination thereof) at the discretion of the Issuer.

2. These restricted stock units vest over three years, with one-third of the grant vesting based on continued service through the first anniversary of February 10, 2022 and one-third of the grant vesting on each of the subsequent anniversaries of such date.

3. Vesting of the performance stock units depends on the achievement of certain performance criteria. Depending on actual performance, the number of shares of the Issuer's common stock delivered upon the vesting date can range from 0% to 150% of the number presented above.
