Explanation of Responses:

1. On April 28, 2023, the issuer cancelled, pursuant to the issuer's option exchange program, options to purchase 1,020,754 shares of common stock of the issuer and in exchange issued to the reporting person 408,301 restricted stock units, each of which represents a contingent right to receive one share of the issuer's common stock.

2. On April 28, 2023, the issuer cancelled, pursuant to the issuer's option exchange program, options to purchase 211,538 shares of common stock of the issuer and in exchange issued to the reporting person 84,615 restricted stock units, each of which represents a contingent right to receive one share of the issuer's common stock.

3. Includes 492,916 restricted stock units, which will vest in three equal annual installments beginning on April 28, 2024, subject to continued employment.
