1. Consists of 160,000 shares of common stock transferred from SportsMap, LLC ("Sponsor"). Such securities were transferred for no consideration.

2. Consists of 9,598 shares of common stock received by David Gow directly. Such securities were transferred for no additional consideration in connection with certain working capital loans to the Issuer.
