Explanation of Responses:

1. The option vests and becomes exercisable as to 25% of the total shares on the first day of each calendar quarter following the date of grant, with 100% of the options fully vested on earlier of the first anniversary of the grant date or the first annual meeting of stockholders of the Company after the grant date (subject to the recipient's continued service to the Company through such vesting date).

2. This option was issued to the reporting person pursuant to the Company's Non-Employee Director Compensation Program in lieu of retainer and meeting fees of $37,000.
