Explanation of Responses:

1. Represents shares of Class A common stock underlying a time-based restricted stock unit award ("RSUs"). The RSUs will vest on a quarterly basis, with 25% of the RSUs vesting on June 30, 2023, and an additional 25% of the RSUs vesting on the last day of each of the three subsequent calendar quarters, subject to the reporting person's continuous service as a member of the Board of Directors through each vesting date.

2. The Reporting Person is a co-trustee of the Greuel-Schramm Living Trust.
