Explanation of Responses:

1. One-third of awarded shares vest each year over three years. 75,000 shares are exercisable on 03/22/2023, an additional 75,000 shares are exercisable on 03/22/2024, and an additional 75,000 shares are exercisable on 03/22/2025. Upon Termination "Without Cause" or "by Participant for Good Reason" within the first year as defined in the employee's Employment Agreement, such vesting date will accelerate to the termination date.
