1. Represents a restricted stock unit ("RSU") award. The RSU vests in full on the date of the next annual meeting of the Issuer's stockholders following the grant date (or the date immediately preceding the date of the annual meeting if the Reporting Person's service as a director ends at such annual meeting as a result of the director's failure to be re-elected or the director not standing for re-election), subject to the Reporting Person's service as a director with the Issuer on such date.
