Explanation of Responses:

1. Each Restricted Stock Unit, awarded pursuant to the Issuer's 2017 Long-Term Incentive Plan, represents a contingent right to receive one share of the Issuer's common stock. Restricted Stock Units will be converted into 972 shares of the Issuer's common stock on April 24, 2025, and the payment of such shares will be deferred in accordance with the Reporting Person's election pursuant to the Issuer's non-employee director deferral program.
