Explanation of Responses:

1. The restricted stock units were issued to the reporting person pursuant to the Issuer's 2014 Equity Compensation Plan in lieu of quarterly retainer fees of $25,000 for the period beginning April 1, 2021 and ending June 30, 2021.

2. The restricted stock units vest immediately. The vested restricted stock units will convert into shares of common stock on the earlier of May 5, 2024 or date of the reporting person's separation from service from the Board of Directors.
