Explanation of Responses:

1. Reflects awards approved under the Inspired Entertainment, Inc. 2023 Omnibus Incentive Plan.

2. Each unit represents a contingent right to receive one share of common stock at settlement.

3. These restricted stock units are scheduled to vest in three equal installments on each of December 31, 2024, December 31, 2025 and December 31, 2026.

4. These performance restricted stock units are conditioned on attainment of pre-established performance criteria for 2024. Depending on the level of performance attained, 0% to 200% of the units would be eligible to vest and be subject to a time-based vesting schedule (vesting in one installment on December 31, 2026).
