Explanation of Responses:

1. Represents the grant of restricted stock units (RSUs). The RSUs will vest in three equal annual installments, with the first installment vesting on April 17, 2024, the second installment vesting on April 17, 2025 and the third installment vesting on April 17, 2026, subject to the reporting person's continued service with Marinus Pharmaceuticals, Inc. (the Issuer). Each RSU represents the right to receive one share of common stock of the Issuer.

2. The option vests and becomes exercisable in 36 equal monthly installments beginning on May 17, 2023, subject to the reporting person's continued service with the Issuer.
