Explanation of Responses:

1. These shares were transferred from the HSJ 2020 IDT Annuity Trust to trusts for the benefit of the Reporting Person's children. The Reporting Person no longer has or reports beneficial ownership of these shares as there is an independent trustee for such trusts. The Reporting Person does not exercise or share investment control of those shares.

2. Consists of 220,995 shares of fully vested Restricted Stock and 883,977 shares of unvested Restricted Stock that vests as follows: 220,995 shares on April 5, 2024, and 220,994 shares on each of April 5, 2025, April 5, 2026 and April 5, 2027.
