Explanation of Responses:

1. The options were granted pursuant to the Issuer's non-employee director compensation policy in connection with the Reporting Person's appointment as a member of the Issuer's Board of Directors. The options will vest over three years as follows: one third (1/3) of the shares underlying the options will vest on each of the first, second and third anniversaries of the grant date.
