Explanation of Responses:

1. The amendment is being filed to report an exempt share withholding transaction that occurred in connection with a grant of restricted stock units on January 15, 2021 and was inadvertently omitted from the original Form 4 reporting the grant.

2. Due to a clerical error, the shares withheld had been added to the Amount of Securities Beneficially Owned Following Reported Transaction in Form 4s filed by the reporting person beginning with the Form 4 filed on April 8, 2021.
