Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of Loop Industries, Inc. (the "Issuer") common stock.

2. All of the RSUs shall be fully vested upon the earlier of the one (1) year anniversary of the grant date or on the day prior to the Issuer's next annual meeting of stockholders occurring after the grant date, in each case, provided that the Reporting Person continues to serve as a non-employee director through the applicable vesting date.
