This statement is filed solely to report termination of reporting-person status. The reporting person's status as a deemed 10% beneficial owner under Rule 16a-1(a)(1), applying a Section 13(d) ownership standard, terminated upon termination of a voting agreement under which the reporting person was deemed to have shared voting power. The reporting person did not and does not have a pecuniary interest in or beneficially own any securities of the Issuer for purposes of the Section 16(a) reporting requirements.
