Explanation of Responses:

1. 50% vest on March 31, 2022 and 50% vest on March 31, 2023.

2. Each Subscription Receipt is convertible into of one unit (each, a "Unit") of The Alkaline Water Company Inc. (the "Issuer"). Each Unit will consist of one common share in the capital of the Issuer (each, a "Share") and one common share purchase warrant (each share purchase warrant, a "Warrant"). Each Warrant will entitle the holder thereof to acquire one Share (each, a "Warrant Share") at $1.25 per Warrant Share for a period commencing on the closing date of the private placement (the "Closing Date") and ending three (3) years following the Closing Date. Each Subscription Receipt will automatically convert into one Unit of the Issuer upon the Issuer receiving shareholder approval for the private placement.
