Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock payable in common stock, cash or a combination thereof at the discretion of the Issuer's Compensation Committee.

2. These RSUs vest in full on the earlier to occur of (i) May 20, 2022 and (ii) the date of the Issuer's 2022 annual stockholders' meeting. Settlement of these RSUs will be deferred to the earliest to occur of (i) the first business day in 2024 or (ii) the date of the Reporting Person's termination of service.
