Explanation of Responses:

1. The Reporting Person is no longer the beneficial owner of 267 shares held by his son.

2. The reporting person holds voting and investment power of all shares held by Universal Finance & Investments, LLC.

3. Restricted stock grant of 500 shares effective 6/2/2022: The restricted shares will vest on 5/20/2023. These shares were granted by the company pursuant to the company's 2012 Omnibus Incentive Plan and under the terms and conditions of a restricted stock agreement dated 6/2/2022.
