Explanation of Responses:

1. The option award was made in accordance with the terms of the Issuer's 2020 Equity Incentive Plan (the "2020 Plan"). The Option will vest at the rate of one hundred percent (100%) of the shares subject thereto upon the one year anniversary of the date of grant, provided that Awardee remains a director of the Company through such vesting date. The exercise price is based on the closing price for the shares of the Common Stock on the date of grant in accordance with the terms of the 2020 Plan.
