1. The common stock was issued on May 25, 2023, in accordance with the Executive Employment Agreement entered into between the Reporting Person and the Issuer on February 9, 2023. The shares of the common stock became fully vested and non-forfeitable upon the issuance of such shares on May 25, 2023.
